These forms aim to assist both companies listed on the Saudi Stock Exchange and nominees/appointees for membership of the Board of Directors of companies listed on the Saudi Stock Exchange to fulfill their obligations with the requirements of the Capital Market Authority “CMA” related to providing CMA with the data of nominees/appointees for membership of the Board of Directors of a company listed on the Saudi Stock Exchange, and to prepare the Board of Directors' report.

Authorisation to Conduct Securities Business

Application For Authorisation 

To obtain a CMA license to conduct securities business activities as defined in Article 2 of the Securities Business Regulations (SBR), an application form should be filled out and submitted to the Authorization Department through (https://authorisation.cma.org.sa).

The Applicant is also required to provide all the relevant attachments as stated under Annex 3.1 of the Capital Market Institutions Regulations in the Application Form.

In addition, the applicant must provide the Authority with payment proof to study Authorization and Registration Applications as per CMA circular number (ص/1/6/5989/20) dated 10/03/1442H corresponding 27/10/2020G (circular), and it must also provide a Trade Name Reservation certificate issued by the Ministry of Commerce

 

Application For Registration

As a requirement for Individual Registration, Registration application  must be submitted through Authorisation System, for registrable functions as per Article 19 of the “Capital Market Institutions Regulations” , and attaching the required documents.

 The Applicant or Capital Market Institution must make reasonable enquiries as to the individual’s fitness and propriety to carry out the relevant Licensed Functions.

Authorisation to Conduct Credit Rating Activity

Application For Conducting Credit Rating Activity (CRA)

To obtain a CMA license to conduct credit rating activity as defined in Article 4 of the Credit Rating Agencies Regulations (CRARs), an application form should be filled out and submitted to the Authorization Department.

As per Annex 1 of the CRARs, the Applicant is also required to provide all the relevant requirements along with the Application Form.

In addition, applicant incorporated in the Kingdom of Saudi Arabia must also furnish the Authority with a copy of certificate of deposit issued by a local Bank for the relevant capital deposited in an "under-formation company/trust" account or an evidence of a three- month working capital (whichever is higher), and it must also provide a Trade Name Reservation certificate  issued by the Ministry of Commerce  and Industry.

Application For Registration

As a requirement for Individual Registration, an Application Form for Registration must be completed, for each registrable function as per Article 36 of the CRARs, and submitted together with the required documents and attachments to the Authorisation Department at the CMA. Before submitting an application to the CMA, the Authorised CRA must make reasonable enquiries as to the individual’s fitness and propriety to carry out the relevant Licensed Functions.

Application for Registered Person Cancellation

In the event of resignation or dismissal of a CRA registered person or in the event that a registered person cease to carry out a registrable function or be ceased to be employed or associated with an authorized rating agency, the CRA shall notify CMA using the form available hereunder within seven days in accordance to the notifications requirements stipulated in paragraph (C -7) of Article 34 and Article 41(b) of the CRARs.

  •     All sections in the applications must be completed.
  •     Questions must be fully answered and the use of abbreviations should be avoided.
  •     No questions to be left unanswered  – if a question is not applicable, this should be indicated in the response section.
  •     All forms must be typed.
  •     Form for persons registration must be signed by the same person and the Chief Executive Officer or Compliance Officer of the Authorised CRA.

How to File a Complaint

Receiving Complaints:

  • The Capital Market Authority receives the complaints that come under the rules of the Capital Market Law and its Implementing Regulations, study them, conduct necessary investigation to confirm the validity of the complaints, and settle disputes that arise between the parties involved in securities business.
  • CMA also handles receiving and referring the complaints in disputes between the market participants themselves and between the participants and their clients to the Saudi Stock Exchange (Tadawul) for settlement. If the settlement was impossible, the complaint is returned to the CMA to issue a notice to enable the complainant to follow up on his/ her suit at the Committee for the Resolution of Securities Disputes (CRSD).
  • The CMA receives Complaints that come under the rules of the Capital Market Law and its Implementing Regulations..

Complaints that come under CMA’s jurisdiction

  • Complaints related to securities ownership registration.
  • Investors’ complaints against Authorized Persons ( Brokerage Firms).
  • Complaints related to listing securities in the market.
  • Complaints related to executing deals that do not include violation penalties.
  • Complaints related to companies’ profits and shares’ certificates.
  • Complaints related to investment funds.
  • Any complaint related to a violation of the Capital Market Rules and its implementing regulations.

How to file an official complaint or notification or inquiry to the Capital Market Authority?

  • Through the official website: www.cma.org.sa.
  • Sending it to the mailing address of CMA:  P.O. Box (87171) Riyadh (11642).
  • By delivering it to the following addresses:
    - Al Faisaliyyah Tower, 10th Floor, Investors Complaints Department.
    - CMA Head Office - King Fahad Road, Ground Floor, investors complaints office.
  • By sending it through fax number (00966112797004) Ext. (7066), or fax number (00966112797003) Ext. (7066).

 

Documents to be attached to the Complaint

  • For individuals: a copy of the National ID for Saudis and GCC citizens,  the Residence permit for non-Saudis or a copy of the passport for those residing abroad. As for companies and corporations: a copy of the commercial registration and the compliant should be signed by the person responsible (the complaint won’t be reviewed or its procedures completed if it was not attached).
  • A copy of the power of attorney and the National ID for the legal representative.
  • A copy of the supporting documents.

 

Authorisation to Establish Special Purposes Entity

Application For Authorisation

 

Issuance of debt instruments:

To obtain CMA license to establish a Special Purposes Entity an application to establish and license a Special Purpose Entity form and an application to register a director of  a Special Purpose Entity should be filled out and submitted to the Sukuk and Debt Instruments Issuance Department in the Authority along with By-laws of Special Purposes Entities according to the standardized form approved by the CMA. 

 

 

Issuance of investment units:

To obtain a license to establish a Special Purposes Entity , the fund manager shall fill out the section on establishing a Special Purposes Entity in the investment fund establishment 's form, in addition to submitting the By-law for the Special Purposes Entity according to the form approved by the authority, and sending it to the Investment Product Issuance Department in the Authority.
